Om Freight Forwarders IPO Listing: Shock Debut Despite Upper Circuit, Investors See 35% Loss

Logistics company Om Freight Forwarders made its debut on the Indian stock exchanges with high anticipation but left investors disappointed, as shares listed at a steep discount to the issue price. Despite eventually hitting the upper circuit during the day, the listing was far from a celebratory moment for IPO participants, especially those expecting strong listing gains.

IPO Listing Disappointment: Sharp Fall From Issue Price

Shares of Om Freight Forwarders were issued at ₹135 per share, but when trading began on the BSE, they opened at ₹82.50, while on the NSE, the opening price was even lower at ₹81.50. This opening price represented a 39% discount to the issue price, meaning that IPO investors immediately saw a significant erosion of their capital on listing day.

Although the stock saw a mild recovery post-listing, eventually hitting an upper circuit of ₹86.60 on the BSE and closing at that level, investors who subscribed to the IPO at the issue price are still nursing a 35.85% loss. The rebound in the stock price was little consolation for those who expected at least moderate listing gains based on the IPO’s decent subscription figures.

IPO Subscription Details: A Mixed Picture

The ₹122.31 crore IPO of Om Freight Forwarders was open for public subscription from September 29 to October 3 and attracted decent investor interest overall. However, the employee-reserved portion saw lukewarm response, indicating uneven demand across categories.

Here’s how the IPO was subscribed:

  • Qualified Institutional Buyers (QIBs): 3.97 times (excluding anchor investors)
  • Non-Institutional Investors (NIIs): 7.39 times
  • Retail Investors: 2.77 times
  • Employees: 0.57 times
  • Overall: 3.88 times

The issue included a fresh issue of equity shares worth ₹24.44 crore, along with an Offer for Sale (OFS) of 72.50 lakh equity shares by existing shareholders. While the proceeds from the OFS went directly to selling shareholders, the fresh capital raised is set to be used for specific business expansion initiatives.

Use of IPO Proceeds: Investment in Growth and Operations

Of the ₹24.44 crore raised through the fresh issue, ₹17.15 crore is earmarked for the purchase of commercial vehicles and heavy logistics equipment, which is expected to strengthen the company’s operational capabilities. The remainder will be used for general corporate purposes, including working capital, administrative expenses, and potential small-scale strategic investments.

This capital infusion is aligned with Om Freight Forwarders’ strategy to scale up its fleet and expand its logistical operations across India and select global markets.

Company Background: A Legacy in Logistics

Founded in June 1995, Om Freight Forwarders is a third-generation logistics and freight management company. Over the past few decades, it has expanded its footprint globally and has become a known name in the logistics sector. The company operates through a network of 22 logistics partners and owns a fleet of 135 commercial vehicles, including cranes, forklifts, trailers, payloaders, tippers, and vessels. This infrastructure allows the company to offer a full range of freight forwarding and logistics services across sectors.

Om Freight Forwarders provides multimodal transport solutions including sea, air, and road freight, customs clearance, warehousing, and project cargo handling. Its clientele spans across industries such as manufacturing, pharmaceuticals, chemicals, and consumer goods.

Financial Performance: Fluctuating Profits and Rising Debt

The financial performance of Om Freight Forwarders over the last three fiscal years reveals a volatile trajectory—particularly in terms of profitability.

  • In FY 2023, the company posted a net profit of ₹27.16 crore on a total income of ₹493.35 crore.
  • In FY 2024, profits dropped sharply to ₹10.35 crore, and revenue declined to ₹421.32 crore, likely due to macroeconomic headwinds and sectoral challenges.
  • In FY 2025, however, the company staged a recovery, reporting a net profit of ₹21.99 crore and income of ₹494.05 crore.

This rebound in FY 2025 indicates improved operational efficiency or better demand conditions in the logistics sector, but concerns remain regarding the company’s ability to maintain sustainable growth.

In terms of debt, the company has seen a significant rise in borrowings over the same period:

  • Debt stood at ₹7.53 crore at the end of FY 2023.
  • It rose to ₹24.47 crore in FY 2024.
  • By FY 2025, debt levels increased further to ₹26.95 crore.

Despite this, the company’s reserves and surplus also saw consistent growth, from ₹139.24 crore in FY 2023 to ₹173.47 crore in FY 2025, providing some cushion in terms of financial stability.

Market Sentiment and Outlook

The disappointing listing of Om Freight Forwarders’ shares raises questions about investor confidence and valuation mismatch. While the IPO saw reasonable subscription—especially from NIIs and QIBs—the tepid response from employees and the sharp discount on listing suggest there may have been concerns regarding pricing, industry outlook, or company fundamentals.

That said, the fact that the stock hit its upper circuit on listing day could signal some short-term technical buying or recovery interest. However, for long-term investors, the focus will be on the company’s ability to deploy fresh capital effectively, reduce debt, and maintain profitability in a competitive and cost-sensitive sector.

Final Thoughts

Om Freight Forwarders’ IPO debut has certainly been a bumpy ride. Despite a promising business model and global logistics presence, the listing at a steep discount has rattled investor confidence. For those who entered during the IPO, the current price still reflects a significant loss of over 35%, and recovery may depend on both market sentiment and the company’s ability to deliver on growth and operational efficiency.

Going forward, market watchers and investors will keep a close eye on the company’s financial performance, debt management, and execution of its fleet expansion strategy, which will determine whether Om Freight Forwarders can regain the trust of the market and offer long-term value to shareholders.
